1. General Provisions
 
  1.1 Scope of Application:
       These Terms of service (TOS) apply to all contracts between the artist (hereinafter referred to as "we," "us," or "Artist") and the              client (hereinafter referred to as "Client") regarding digital artworks created upon the client's request.  1.2 Conclusion of Contract:
        The contract is concluded when the Client places a binding order and payment is made. By concluding the contract, the Client               acquires the Artist's service, i.e., the creation of a digital artwork for download. The Client does not acquire ownership rights to             the artwork, but merely a license to use it within the agreed conditions.  1.3 Acceptance of TOS:
        By accepting the TOS the Client confirms that they have read, understood, and accepted them.
 

2. Disclaimer
 
  2.1 Liability:
        The Artist is not liable for losses or damages caused by technical malfunctions or errors in transmitting the order details.  2.2 Errors:
        The Client is responsible for providing accurate and complete information. The Artist accepts no liability for errors resulting from         incomplete or incorrect information provided by the Client.
  2.3 Refund:
        No refund will be issued once work has begun. If the order cannot be completed for unavoidable reasons (e.g., illness or technical         issues), the Client will be informed and may receive a partial refund.
  2.4 Responsibility for Reading TOS:
        The Artist assumes no responsibility if the Client does not read the terms and conditions, resulting in misunderstandings.  2.5 Deviations Between Sample and Final Product:
        There may be deviations between the samples in the Artist's portfolio and the final product. These deviations do not constitute
        grounds for complaints as long as the final product meets the agreed quality.  2.6 Storage of Order Data:
        The order will be available for download in Google Drive for a maximum of 6 months. It is the Client’s responsibility to download
        the data within this period. Afterward, the Artist assumes no responsibility for data loss.  2.7 Cancellation and Refund for Delays:
        If the Artist is unable to complete the order within a reasonable time after the agreed deadline due to unforeseen or unavoidable
        circumstances, the order will be canceled, and the full amount will be refunded.
 

3. Payment and Refund
 
  3.1 Payment:
        Payments must be made in full in advance.     3.1.1 Payment Method:
             Payments are made via PayPal Invoice in Euros.     3.1.2 Payment Within 48 Hours or By Arrangement:
             The Client agrees to pay within 48 hours of receiving the invoice or to arrange an individual deadline with the Artist.
             If payment is not made within the agreed period, the Artist reserves the right to cancel the order.  3.2 Invoice Creation and Client Information:
        For invoicing, the Client must provide their full name and address.  3.3 Installment Payments:
        For installment payments, the full amount must be paid before the final artwork is delivered.     3.3.1 Installment Fee Per Installment:              ⤇ For 2 installments, a fee of €15 per installment is charged.              ⤇ For 3 installments, the fee is €20 per installment is charged.              ⤇ For 5 installments, a fee of €30 per installment is charged.     3.3.2 Payment Dates:              The first installment is due immediately after order confirmation.
              All subsequent installments must be paid no later than 30 days after the previous installment.     3.3.3 Minimum and Maximum Installments:              The minimum number of installments for regular orders is 2-3 installments, and this option applies to orders starting at €300.               Orders from €800 can have up to 5 installments, but this applies only to Vtuber projects.  3.4 Refund Policy:        A refund is only possible if the order has not yet started. Once work has begun, no refund will be provided.
 

4. Usage Rights and Intellectual Property
 
  4.1 Rights to the Artwork:
        The Artist retains all rights to the created artwork, except for rights to the characters provided by the Client.     4.1.1 Private Use License:
             The Client receives a license to use the artwork for private use, such as using it as a phone or computer wallpaper
             or printing it for personal use. For clarifications, the Client is encouraged to inquire.     4.1.2 Usage Restrictions:
              The artwork may not be used for AI purposes or similar applications.
              Uploading the artwork to AI platforms or similar sites is prohibited. The use of the artwork for NFTs is strictly prohibited.  4.2 Commercial Use:
        Commercial use of the artwork is only permitted by explicit agreement and for an additional fee.
        If the Client requests the artwork for commercial purposes, the price will be determined in advance.              ⤇ Type A: Twitch/YouTube Usage, Social Media Content, Game Assets, Promotion Art/Ads, etc. — Total amount x1.5              ⤇ Type B: Merchandise, Prints, CD Covers, etc. — Total amount x2     4.2.1 Subsequent Addition of Commercial Rights:              If the Client later decides to use the artwork commercially, the same fees as for the initial addition of commercial rights will
              apply (see Section 4.2). Such an addition is only valid upon written confirmation from the Artist.  4.3 Changes and Modifications:        The Client may not alter, modify, crop, or otherwise change the artwork. Changes, modifications, or alterations are only
        allowed with prior consultation and approval from the Artist. If the Artist takes on the modification, an additional fee may apply.  4.4 Watermark and Signature:        Clients who do not acquire commercial rights (Type A or Type B) will receive the artwork only with a watermark.
        A version without the watermark will only be provided if the Client purchases commercial rights as per the Type A or Type B
        agreement. The Artist’s signature will always remain in the artwork and may not be removed or altered under any circumstances.
 

5. NDA (Non-Disclosure Agreement)
 
  5.1 Publication of Artwork:       The Artist reserves the right to publish the finished artwork unless the Client explicitly requests that it remains confidential (NDA).
       In cases such as private events (e.g., birthday, debut, etc.), a separate agreement may be made.      5.1.1 NDA for a Fee:              If the Client wishes for a non-disclosure agreement (NDA), it will be arranged upon agreement.
              The Artist agrees not to publish the artwork without the Client's explicit consent.                  ⤇ If the artwork is never to be posted, an additional charge of 100% of the total amount will apply.                  ⤇ If the confidentiality period is less than 12 months, a fee of 50% of the total amount will apply.      5.1.2 NDA Fee:               The NDA fee is charged as the Artist must forgo publishing the artwork and sharing it on social media or streaming platforms,
               which requires additional resources and results in lost streaming revenue.
 

6. Behavioral Guidelines and Harassment
 
  6.1 Client Conduct:        The Client agrees not to leave inappropriate or harassing comments.
        Any form of harassment will not be tolerated and may result in immediate termination of the order.  6.2 Blacklist:        Clients who repeatedly engage in inappropriate behavior may be blacklisted,
        resulting in the Artist refusing to accept future orders from that client.
 

7. Artistic Rights and Refusal of Orders
 
  7.1 Refusal of Orders:
       The Artist reserves the right to refuse orders for artistic, ethical, or other reasons without being required to give an explanation.  7.2 Exclusions from Orders:
       The Artist does not accept orders that involve the following topics:

  7.3 Commercial Use Provisions:       Any commercial use of the artwork requires a separate agreement and licensing from the Artist.
 

8. Additional Fees
 
  8.1 Rush Orders:
       A rush order fee will be charged for particularly urgent orders that require expedited processing.
       The amount of the rush fee depends on the order size and desired processing time.     8.1.1 Minimum Processing Time:
             The minimum processing time for smaller orders, such as a bust-shot artwork in full color, is 2 weeks.     8.1.2 Rush Order Fee (Less than One Month):
              For orders to be completed in less than one month, a fee of 50-75% of the order value will apply.     8.1.3 Rush Order Fee (Within Two Months):
              For orders that must be completed within 2 months, a fee of 25-50% of the order value will apply.     8.1.4 Prioritization of Rush Orders:
              As the client may be prioritized, rush orders may be completed at the expense of other orders.     8.1.5 Rush Order Availability:
              Availability of rush orders is not guaranteed and will be decided upon discussion.  8.2 Changes:
        Major changes that need to be made during or after the coloring phase may incur additional costs.
        These will be communicated to the client in advance.
 

9. Deadlines
 
  9.1 Deadline Determination:
        The Artist sets a realistic deadline for the completion of the artwork based on the complexity of the order and the current
        workload, and the Client will be informed of the expected completion time.     9.1.1 Delay Notification:
             In case of a deadline exceeding without prior notice to the Client or without a new agreement,
             a grace period will be set, and compensation for the delay will be due unless caused by force majeure.  9.2 Delay Notification:        Should unforeseen circumstances occur that lead to delays, the Client will be notified promptly.     9.2.1 Consequences of Missed Deadlines:              If the deadline is exceeded without prior notice or a new agreement, a grace period will be granted,
              and compensation for the delay will be due unless caused by force majeure  9.3 Order Duration:        The duration of an order varies depending on the order size and complexity.
        Smaller orders are typically completed within 4 to 6 weeks, while larger orders may take up to 6 months.
        Vtuber projects may require longer processing times due to their complexity.
        The Client will be informed of the expected completion date at the beginning of the project.
 

10. Response Time to Inquiries
 
  10.1 Inquiry Response Time         The Artist commits to responding to the Client's inquiries within 48 hours, unless there are unforeseen circumstances or an
         exceptional workload. In such cases, the Client will be informed accordingly. 

11. Revisions and Feedback
 
  11.1 Feedback and Changes        After receiving the first draft of the artwork, the Client has the opportunity to provide feedback and request changes.  11.2 Change fees        Changes during the sketch phase are free of charge. Once the line art is completed, larger changes beyond the original draft will
        incur an additional fee. This fee will depend on the scope of the change and will be communicated to the Client in advance.  11.3 Response Time        The Client agrees to respond to the revised draft within 7 business days. If no response is provided within this period,
        the Artist reserves the right to consider the artwork completed and claim the remaining balance.  11.4 Changes After Completion        Changes after the project has been completed or after final approval of the artwork,
        which were not included in the original contract, may incur an additional fee.
 

12. Final Product
 
  12.1 Artwork Publication:         The finished artwork will be posted on the Artist's social media channels unless an NDA agreement has been made to prevent this.  12.2 Attribution Obligation         The Client is obligated to credit the Artist as the creator when the artwork is used on other platforms or in public media.  12.3 Responsibility for Download and Storage         The Client is responsible for downloading and securely storing the digital artwork within the provided 6-month period.
         After this period, the download will no longer be available, and the Artist assumes no responsibility for the loss or
         unavailability of the file.
 

13. Severability Clause
 
  13.1 Validity:
         If any provision of these TOS is wholly or partially invalid, the validity of the remaining provisions remains unaffected. The invalid
         provision will be replaced by a valid one that most closely aligns with the economic purpose of the original provision.
 

14. Governing Law and Dispute Resolution
 
  14.1 Applicable Law:
         This contract is governed by the laws of Germany.  14.2 Dispute Resolution:
         Any disputes arising from the contract will be resolved through negotiation or, if necessary, through arbitration.
